- Merchant Term and Condition Agreement: This “Merchant Term and Condition Agreement” (hereinafter referred to as the “Agreement”) is an agreement between Merchant and Savyu regarding the registration, login, use of a merchant account and the use of various services provided by Savyu. In order to use Table booking services, you should carefully read and comply with all the provisions of this Agreement. Unless you have read and accepted all the terms of this Agreement, you will not be able to register a Savyu account or use Table booking services. If you do not agree with any content of this Agreement, please do not register or use our services, and you should immediately stop the registration process. If you have any doubts about the content of this Agreement, you can contact us using the contact information provided in this Agreement for clarification. By checking “I agree to the Merchant Term and Condition Agreement” and proceeding with the registration process or using or accepting any services provided by Savyu through any other means, you are deemed to have read and fully agreed to this Agreement, and voluntarily accept all the provisions of this Agreement.
Article 1. Definition:
Merchant Term and Condition Agreement will be an inseparable part and in harmony with other documents, including the “Operation Statute”, “Savyu Terms of Use”, “Privacy Policy”, “Cooperation Agreement”, etc.
1.2. “Merchant” means merchant and other companies, organizations and individuals, who are defined as merchants in the e-commerce service provision agreements to be signed by them and Savyu and participate in Savyu Platform.
1.3. “Consumer” means the consumer using the Savyu Platform to buy goods or services or to book a table.
1.4. “Outlet” means a physical place where the Merchant presents their restaurant information on the Savyu platform for customers to explore, choose, and make reservations before dining. The details that form the Outlet are referred to as the Outlet Profile.
1.5. “Product” refers to the goods or services offered by the Merchant, such as food and drinks, for sale to consumers.
1.6. “Reservation hours” means the time slots when the Merchant is ready to provide Products to all consumers dining at the restaurant.
Article 2. Documents the Merchant needs to carefully read and understand:
In addition to this agreement, the Merchant agrees and acknowledges that they need to carefully review the following: Operation Statute, Privacy Policy, and the Cooperation Agreement (already signed or to be signed).
Article 3. Basic Cooperation Agreement:
3.1. Service Fee Payment: This means that the Merchant agrees to register to use the Savyu platform and pay the service fee as specified in Article 4 of this agreement.
3.2. Good Cooperation Environment: The Merchant agrees to continuously improve with Savyu in order to create a better business environment on the Savyu platform. This environment aims to bring mutual business success for both parties, with three main topics for coordination:
3.2.1. Good Reservation Service: These are the term and condition of the reservation service established solely by the Merchant, with a commitment to ensuring they are public, transparent, and fair to all customers, (including Savyu Consumers.
3.2.2. Good Products: The Merchant has full control over the products and services offered, but must cater to the needs of the customer segments available on the Savyu platform.
3.2.3. Good Sales Regulations: These are the policies and conditions applied to the Merchant’s customers, including Savyu Customers. Here, the Merchant agrees with Savyu to establish sales regulations that are public, fair, transparent, and avoid creating discriminatory policies toward Savyu Customers.
Article 4. Service Fee:
4.1. The standard service fee for using the Savyu reservation service is 10,000 VND (ten thousand VND) per booking.
Article 5. Contract Relationship, Registration Requirements, Registration, and Modification of Terms of Use:
5.1. Savyu is an online platform for restaurant reservations. We connect restaurants and customers through our reservation system and also provide you with software to manage reservations. We allow customers to make reservations at your restaurant anytime and from any device (collectively referred to as “Savyu Services”). To use our Savyu Services, you need to create a user account (“User Account”) with Savyu. To register, you need a valid email address, mobile phone number, and a password of your choice. You agree to provide accurate and complete information during the registration process and update this information during the term of your contract. You agree that Savyu may contact you via your User Account, phone number, and email address stored with us.
5.2. You agree to protect your access information at all times and not allow any unauthorized third party to access your User Account and the Savyu Services provided to you (except for employees authorized by you). You bear all the consequences of access by any unauthorized person as a result of disclosure of your access information.
5.4. Partner's Assurance of Information: Throughout the contract term, you will ensure that the information you provide or upload complies with all legal and contractual requirements, does not infringe on any third-party rights, and is correct, accurate, and not misleading. If such information no longer complies with this Clause, you will immediately correct it.
5.5. Responsibility for Checking Your Information: You are also responsible for checking whether the business information you have provided or that Savyu or Savyu users have published on the Savyu website/app, or plan to publish on the Savyu website/app, meets the requirements of this Clause and is accurate.
5.6. Savyu's Right to Change Information: We have the right to remove or correct any inaccurate information or information that violates any terms of this Agreement or the Cooperation Agreement or the law, but we are not obligated to do so.
5.7. Right to Publish Customer Reviews (if any): We have the right to remove or correct any inaccurate information or information that violates any terms of this Agreement or the Cooperation Agreement or the law, but we are not obligated to do so.
5.8. Savyu’s Responsibility for Communication: We have the full right to use information from the Store for communication purposes. We ensure and are responsible for complying with the law and fulfilling all tasks in the Task Table according to the Service Package that the Partner is using. The task information table and the contact points will be provided.
Article 6. Information - Tasks and Contact Points for Coordination of Savyu During the Cooperation Process:

| 3. Implementation of Cooperation | Coordinate to ensure the business operations of suppliers proceed smoothly on Savyu. 1. Report and answer questions regarding the implementation of the restaurant service package being used. 2. Support restaurants that cannot manage the following tasks independently: Changing outlet information, changing product, service, promotion, menu, price list, dishes, etc. 3. Exchange and advise the restaurant to achieve the “3 Good” standard: good products, good reservation service, and good sales regulations. 4. | 4. Cooperation Effectiveness & Expansion | Work together to develop and closely monitor the progress of the cooperation. Be ready to discuss and address any needs regarding adjustments, expansion of cooperation, or cessation of cooperation. These tasks may include: 1. Opening new outlets, new brands. 2. Changing service packages and fee policies. 3. Article 7. Additional Responsibilities & Limitations of Liability of Savyu:
Savyu will not be held responsible for any special, indirect, incidental, or consequential damages, or for communication disruptions, business interruptions, data loss, or loss of profits arising from or related to these Terms.
Article 8. Final Agreement:
8.1. The terms and conditions of the Contract and its related documents are governed by and construed in accordance with the laws of Vietnam (without regarding the conflict of laws regulations).
8.2. In case of any disagreement or dispute related to the Contract, Merchant Terms and Conditions, or your activities on Savyu App
- The parties shall first negotiate to settle the dispute on amicable and mutual benefits basis.
- If the dispute is not able to be settled within thirty (30) days from the date of its occurrence, each party shall have the right to refer the dispute to the competent court of Vietnam.
- However, Merchant and Savyu hereby agree that any dispute, in which the plaintiff is Savyu and the defendant is Merchant, shall be resolved by the court at the level of competent jurisdiction in Ho Chi Minh City and commit to conduct all necessary procedures and requirements pursuant to the regulations of the laws of Vietnam to refer such dispute to the court at the level of competent jurisdiction in Ho Chi Minh City. The court fee shall be paid by the losing party.
